Terms of Use Agreement:

1. I am of legal age to enter into binding agreements in the state or
province or country in which I reside.
2.
I agree that I am an independent contractor, responsible for
determining my own business activities and not an agent,
employee or legal representative of
Grant & Grant Marketing, Inc.,
D/B/A Roadmap
to Riches (here in after referred to as RMTR). I will not
represent in any manner that I am an agent, employee, or
staff member of RMTR. I am solely responsible for the
payment of all federal and state self-employment taxes and
any other tax that may be required under any federal, state
or regulatory taxing agency, in the country in which I
reside.
3.
I agree that as a RMTR Associate, I shall place primary
emphasis upon the introduction and referral of Retail
Customers. RMTR Customers are authorized to sell the
products offered through RMTR and I understand that the sale
of the principal RMTR products, which are designated for
retail sale, is the primary activity of RMTR. I also
understand that all new associates will purchase RMTR
products through their Qualified Sponsors Roadmap to
Riches website, I understand and agree that my income is
solely dependent upon my personal efforts and the Company
makes no guarantees, expressed nor implied, regarding
income.
4.
This registration procedure does not constitute the sale of
a franchise and no commissionable fee or purchase for
participation as RMTR Associate has been required of me.
This distributorship with RMTR does not constitute the sale
of a position either and, again, no commissionable fee or
purchases for participation as an Independent Associate has
been or will be required from the Independent Associate for
the right to offer Company products and to maintain unto
himself the right to retain the gross profit arising from
the sale of said products, that profit being the difference
in wholesale associate cost and retail reselling price
pursuant to this Agreement. Permissible sales aids purchases
shall be automatically modified to comply with the exemption
requirements set forth in any particular laws regulating
business opportunities.
5.
In presenting RMTR to prospects, I agree that such
presentations shall be strictly according to the Company
format and that I will be terminated as a RMTR Independent
Associate if I fail to do so: No other sales materials
online or offline may be used in presenting the RMTR Program
unless approved by the Company. Doing so without approval
can result in termination of my distributorship. In each
presentation, the prospect shall be directly informed that
no commissionable fee or membership purchase is required or
is a means to become a RMTR Independent Associate for retail
purposes and only a Roadmap to Riches Monthly Hosting Fee is
required to access management services within one's own RMTR
System.
6.
I understand that no attorney general or other regulatory
authority ever reviews, endorses or approves any product,
compensation program or company, and I will make no such
claim to others.
7.
I understand that my RMTR Independent Associate position can
be inherited or bequeathed, but cannot be transferred or
assigned during my lifetime without written consent of the
Company which shall not be unreasonably withheld. Change of
original sponsor is not permitted.
8.
In order to maintain a viable Marketing Program and to
comply with changes in federal state or local laws in
various areas, RMTR may from time to time modify, at it's
sole discretion, any policy, procedure, practice,
methodology in place at the time I executed this agreement.
Therefore, this Agreement shall be deemed in effect upon its
receipt and acceptance by RMTR. Such alterations shall
become a binding part of this Agreement upon publication on
the official RMTR Associate Website, publication in any
company materials in written and audio format.
9.
I am responsible for supervising and supporting RMTR
Independent Associates within my RMTR Organization. I agree
to maintain frequent communication and support to those
Associates within my organization, particularly when they
first enroll by way of any of the following, or combination
thereof: Personal contact, telephone communication, email,
instant messaging, communication tools within my RMTR
Backoffice and written communication. Failure to do so can
result in termination of my distributorship.
10.
I understand that all income is derived from retail sales.
You are paid on a per sale basis on the sale of our
products. Members do not earn an income from recruiting.
Again, I understand that no product purchase is required to
participate in the RMTR program other than the monthly
hosting fees for my RMTR corporate website.
11.
I will not make false or misleading statements about RMTR
associates or the RMTR Associate Services, Benefits, or
Compensation Plans. Display of earnings statements and the
making of income projections to prospective RMTR Associates
are strictly forbidden.
12.
The Independent Associate understands and agrees that, in
order to receive any income under the RMTR compensation
plan, he/she must make Product sales through their RMTR
website, as well as helping other Independent Associates
they sponsor in the company to help them make retail sales
(as outlined on the RMTR Company Website) upon which also
income is based..
13.
All information relating to the RMTR business plan,
business, systems, marketing strategies and genealogical
information are proprietary and confidential to RMTR. At RMTR
discretion, proprietary and/or confidential information may
be forwarded to Independent Associates, in strict and
complete confidence, to help them manage their RMTR
organization, and for no other purpose. Every Independent
Associate who is provided with such information must treat
it as confidential and take care to maintain its secrecy and
refrain from making any use thereof for any purpose other
than management of his/her organization. Without limiting
the generality of the foregoing, no such information may be
used in cross sponsoring or with the intent to entice RMTR
Independent Associates into other direct selling or
marketing companies. Any violation of this policy by an
Independent Associate will result in the immediate
termination of the offending Independent Associate's
Agreement. Furthermore, the offending Independent
Associate(s) could be subject to legal action for injunctive
relief and/or damages including punitive damages. This
prohibition is necessary in order to protect the proprietary
and confidential nature of genealogical information and
other business, systems and marketing strategies available
to RMTR. This information, if known to competitors, would
cause RMTR grievous harm.
14. RMTR and its corporate members believe in operating under a code
of ethics and that all persons should be treated with the
utmost respect. Unprofessional conduct towards prospects or
fellow associates, such as the use of profanity, defamation
or offensive communication will not be tolerated. If such an
incident occurs, the independent associate will be contacted
via phone or personal email and issued a warning. If the
behavior persists, the associate will be terminated from
Roadmap to Riches. Any members found soliciting leads or
advertising packages to their members or ANY other R2R
members outside of their organization, will be terminated
immediately.
15.
Independent Distributors may voluntarily cancel this
Agreement and their Independent Distributorship at any time
by mailing written notice via Independent mail, return
receipt requested, to the Company's corporate offices, the
address of which shall be provided to said Distributor
solely for such purposes upon demand. The Company reserves
the right to suspend or terminate an Independent Associate
at any time based upon illegal or unethical business
practices of the Independent Associate as so deemed solely
by RMTR.
16.
There are no investments or purchases ever required to
participate in RMTR other than the monthly $49.95 payment
which covers the cost of your self replicated websites,
hosting and other marketing & training materials. You may
cancel your monthly billing of $49.95 for and Website
Account at anytime by submitting a ticket to our HelpDesk at
least (1) one day prior to your next payment cycle.
17.
I understand that RMTR Independent Associates shall under no
circumstances solicit, promote or market any other product,
service or business opportunity, directly or indirectly to
any other RMTR Independent Associates past their first level
unless having a prior approval in writing from RMTR.
18.
RMTR offers a three (3) day money back, satisfaction
guaranteed refund policy. Refund request must be received
within 3 days of enrollment date and requested directly to
the RMTR whom was paid on the product sale. Fees paid that
are refundable are the $999 for the Roadmap to Riches
Webucation E-Library. The $49.95 per/mo Website/Marketing
System Hosting payment and the one-time $350 admin payment
(which eliminates all future monthly hosting charges) are
not refundable. Note: Associate gives up the right to
exercise their 3 day refund if within the Associates first
72 hours they complete minimum (1) $999.00 Retail Sale of
the Roadmap to Riches Webucation E-Library.
19.
All Qualified Sponsors must honor and adhere to RMTR's 72
hour Corporate refund policy. We understand that our refund
policy is generous and unique in our industry but it is
critical for us as a company and marketing team to maintain
integrity in the marketplace in order to secure longevity.
Any Qualified Sponsor that wishes to not refund a new
Representative will be suspended until corporate receives
notification of refund completed.
20.
The creators and publishers of
ROADMAPTORICHES.COM
and the accompanying materials have used their best efforts
in preparing the Roadmap to Riches Program. The creators and
publishers make no representation or warranties with respect
to the accuracy, applicability, fitness, or completeness of
the contents of the Roadmap to Riches Program. The
information contained in the Roadmap to Riches Program is
strictly for educational purposes. Therefore, if you wish to
apply ideas contained in the Roadmap to Riches Program, you
are taking full responsibility for your actions.
Every effort has been made to
accurately represent this program and it's potential. Even
though this industry is one of the few where one can write
their own check in terms of earnings, there is no guarantee
that you will earn any money using the techniques and ideas
in these materials. Examples in these materials are not to
be interpreted as a promise or guarantee of earnings.

21. Roadmap
to Riches Anti-Spam Policy (Last updated September 26th,
2007) RMTR is committed to permission-based email marketing
practices, and as a result has established this no-tolerance
Anti-Spam Policy. RMTR will occasionally update this
Anti-Spam Policy. When it does, RMTR will also revise the
"last update" date at the top of this Anti-Spam Policy. For
changes to this policy, RMTR will notify you (the Associate)
by placing a notice in your back-office.
What is Spam?
Spam is commercial email or unsolicited bulk email,
including "junk mail", which has not been requested by the
recipient. It is intrusive and often irrelevant or
offensive, and it wastes valuable resources. Spam messages
are the opposite of permission-based email, which are
normally anticipated, personal, relevant and/or associated
with a pre-existing business or personal relationship.
Inappropriate newsgroup activities, consisting of excessive
posting of the same materials to several newsgroups, are
also deemed to be spam.
Preventing Spam
Associates of RMTR program, products and services have
agreed during their registration process, upon accepting the
Terms and Conditions, agreed to comply with this Anti-Spam
Policy. Specifically, each Associate agrees not to use the RMTR
products or services to send unsolicited email or bulk email
and/or to promote RMTR using unsolicited email or bulk
email, whether or not for commercial purposes. RMTR reserves
the right to determine in its sole discretion what
constitutes actionable spam, as well as what measures are
necessary in response to such spam activities.
How RMTR Helps You to Avoid Spamming
RMTR has developed its Internet marketing tools to
incorporate a strict permission-based philosophy. This
anti-spam philosophy is implemented through the following:
(a) Communication and Agreement - The Terms and Conditions
that you have agreed to as part of registering for the RMTR
program, products and services state how and for what
purposes you can collect your site visitor addresses, and
that you will follow the RMTR Privacy Policy and Anti-Spam
Policy.
(b) Unsubscription - Each email created using RMTR marketing
system contains an "unsubscribe link". If your web site
visitors use the link to request that they be unsubscribed,
your subscriber lists will automatically be adjusted to
eliminate the prospect of sending unwanted email to such
persons. Additionally, each person on your subscriber list
has the option of unsubscribing through a web-based method
provided on the RMTR web site. Associates of RMTR who try to
remove the unsubscribe link will be warned that they are
doing so, and if they persist in having the link removed or
deactivated in any way, then RMTR will have the right to
terminate their account.
(c) Purchased Mailing Lists - Mass mailings to purchased
email lists are not allowed. RMTR only allows opt-in mailing
lists. Purchased or inherited lists are by definition not
opt-in. Similarly, you cannot use an email list relating to
particular subject matter, and then use it for an unrelated
topic.
Laws Restricting Spam
Spam laws vary from state to state, and from country to
country. This RMTR Anti-Spam Policy has been developed to
conform to the highest commercially reasonable standards. As
a result, and without limiting the general prohibitions
against all spam activities, the following are expressly
prohibited:
(a) Use of false headers, or other false information, to
identify the point of origin or the transmission path of the
email, or to hide the true origin of the email sender,
(b) Unauthorized use of a third party's internet domain name
without the permission of such third party, to make it
appear that the third party was the point of origin of the
email,
(c) Use of any false or misleading information in the
subject line of the email, and
(d) Assisting any person in using the products or services
of RMTR for any of these previously mentioned activities.
Questions to Ask Yourself
To help in establishing whether you are participating in
activities constituting spam, ask yourself the following
questions:
(a) Are you sending email to non-specific addresses, such as
info@domain.com or sales@domain.com?
(b) Have you deliberately falsified your transmission path
information or originating address?
(c) Are you sending email to mailing lists or distribution
lists, which then send indirectly to various other email
addresses?
(d) Have you imported for use a purchased list of any type?
(e) Are you continuing to mail to anyone who has asked to be
deleted from your mailing list?
(f) Does your email not provide a fully functioning link to
unsubscribe?
(g) Does you email subject line contain false or misleading
information?
(h) Have you used a third party's email address or domain
name without the party's consent?
If you answer yes to any of these questions, you are likely
involved in spam activities, and should contact RMTR
customer support service at our HelpDesk located in your
RMTR back office.
Measures to Enforce the Anti-Spam Policy Any RMTR Associate
found to be using spam to promote RMTR and the RMTR Products
may, at RMTR discretion, be immediately cut off from use of
the RMTR Program and/or fined US$ 1,000 per occurrence, with
no refunds of RMTR Purchased Product or RMTR Admin hosting
fee of your Website/Marketing System.
RMTR warns all of its Associates when signing up that if
they participate in spamming activities they will be subject
to the loss of RMTR Services, Fines and possible Legal
Action.
RMTR has the right to actively review its associates'
subscriber lists and email for suspiciously large
broadcasts. If RMTR finds any customers to be spamming, it
will issue a warning, and if the activities are serious
enough, RMTR will take action immediately. If RMTR has any
reason to believe that the associate, despite warning being
given, threatens to or is continuing to send spam, then RMTR
may take action immediately, including disabling the
associate's account and/or reporting the associate and the
incident to the proper authorities.
RMTR does not attempt to censor any content, nor to curtail
the business of its associates. However, spam activities do
not fall within uses authorized by RMTR, and will not be
tolerated.
False Spam Complaints RMTR supports the efforts of various
organizations working to responsibly eliminate spam
activities. However, if an individual has opted-in to
receive email from an associate of RMTR, and then falsely or
maliciously files a spam complaint against RMTR or its
associates, RMTR will cooperate fully with the appropriate
agencies to ban the complainant from use of anti-spam
software and the Internet community.
22.
This Agreement is governed by the laws of the state of New
York. The parties agree that any claim, dispute or other
difference between them shall be exclusively resolved by
binding arbitration pursuant to the Commercial Arbitration
Rules of the American Arbitration Association with
arbitration to occur in the state of New York. Independent
Associate agrees to hold harmless and indemnify RMTR and its
officers, directors, employees and agents against any
claims, liability, obligations, expenses (including legal
fees) or damages arising out of any representation made by
said Independent Associate in connection with the marketing
plan or products. Neither party shall be liable in damages
or have the right to terminate this Agreement for any delay
or default in performing hereunder if such delay or default
is caused by conditions beyond its control including, but
not limited to Acts of God, Government restrictions
(including the denial or cancellation of any export or other
necessary license), wars, insurrections and/or any other
cause beyond the reasonable control of the party whose
performance is affected. Independent Associate and Company
irrevocably gives up the right to seek legal remedy in a
court of law in deference to binding arbitration. Any states
laws to the contrary, will of course, be honored and adopted
herin by reference.
